By downloading, installing, or using the SmartText application ("the App") or visiting quantarrastrategies.com ("the Website"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.
Description of Service
SmartText is a person-to-person (P2P) messaging platform operated by Quantarra Strategies LLC. The App provides users with virtual phone numbers that can be used to send and receive SMS messages with real people. SmartText is not a marketing tool, automated messaging service, or bulk messaging platform.
Messaging Consent and Opt-In
By creating a SmartText account and provisioning a virtual phone number, you consent to the following:
Sending messages: You will use your virtual number to send SMS messages to real people for legitimate, personal purposes (business communication, personal conversations, etc.)
Receiving messages: You consent to receive SMS replies from people you contact through your virtual number, as well as service messages from SmartText (account confirmations, service updates)
AI features: When you use AI features (reply suggestions or AI chat), your message content may be processed by third-party AI services to generate responses. This processing occurs solely to provide the AI feature and your messages are not used for any other purpose. AI-generated content may not always be accurate, and you are responsible for reviewing all AI content before sending
Opt-out: You may stop using any virtual number at any time by releasing it in the App. Recipients of your messages may reply STOP at any time to stop receiving messages from your virtual number
We will not share or sell your opt-in consent or mobile information with third parties for promotional or marketing purposes. See our Privacy Policy for details.
You are responsible for using SmartText in compliance with all applicable laws. SmartText is designed for individual conversations, not automated or bulk messaging. Service communications from SmartText are delivered through the app and via email.
Message and data rates may apply depending on your mobile carrier. Message frequency varies based on your usage of the App.
Acceptable Use
You agree not to use SmartText to:
Send unsolicited bulk messages, spam, or marketing messages to people who have not requested them
Harass, threaten, or intimidate any person
Engage in any illegal activity or violate any applicable laws
Impersonate another person or entity
Transmit malware, phishing attempts, or fraudulent content
Circumvent any technical measures we use to enforce these terms
We reserve the right to suspend or terminate accounts that violate these terms.
STOP, HELP, and Keyword Support
SmartText supports standard messaging keywords:
STOP: Recipients can text STOP to any SmartText number to stop receiving messages from that number
HELP: Text HELP to any SmartText number for support information and contact details
START: Text START to resume receiving messages after opting out
Subscriptions and Payments
SmartText is a subscription-based service. Subscriptions are processed through the Apple App Store. By subscribing, you agree to the recurring charges associated with your selected plan.
Subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the end of the current period. You may manage or cancel your subscription at any time through your Apple ID settings. Cancellation takes effect at the end of the current billing period.
Virtual Phone Numbers
Virtual phone numbers provisioned through SmartText are provided by third-party telecommunications carriers. Numbers are assigned based on availability and are subject to carrier regulations. We do not guarantee the availability of specific area codes or number patterns. You may release a number at any time, but released numbers cannot be recovered.
Intellectual Property
SmartText, including its design, features, and content, is owned by Quantarra Strategies LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the App without our written permission.
Third-Party Trademarks
SmartText lets you choose among AI models offered by third parties. All third-party product names, model names, and logos shown in the App — including those identifying the AI model you select — are trademarks of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Quantarra Strategies LLC. They are shown solely to identify which AI model handles your request. SmartText is independent and is not affiliated with, partnered with, endorsed by, or sponsored by these companies.
Limitation of Liability
SmartText is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We are not liable for message delivery failures, carrier outages, or third-party service interruptions. To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, regardless of the cause of action.
Our total liability for any claim arising from your use of SmartText is limited to the amount you paid for the service in the 12 months preceding the claim.
Age Requirement
You must be 18 years of age or older to use SmartText. By creating an account, you confirm that you meet this age requirement.
Indemnification
You agree to indemnify and hold harmless Quantarra Strategies LLC from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of SmartText, your violation of these terms, or your violation of any applicable law or regulation.
Governing Law
These terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles.
Dispute Resolution
Any dispute arising from these terms or your use of SmartText shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration may be conducted remotely. You agree that disputes will be resolved on an individual basis, and you waive any right to participate in a class action lawsuit or class-wide arbitration. Either party may bring a claim in small claims court as an alternative to arbitration.
Apple App Store Licensed Application End User License Agreement
This section applies when you use SmartText as an application licensed through the Apple App Store (the "Licensed Application"). It supplements the Terms of Service above.
Acknowledgement. This Agreement is concluded between you and Quantarra Strategies LLC only, and not with Apple Inc. ("Apple"). Quantarra Strategies LLC, not Apple, is solely responsible for the Licensed Application and its content. This Agreement does not provide usage rules for the Licensed Application that conflict with the Apple Media Services Terms and Conditions.
Scope of License. The license granted to you for the Licensed Application is a non-transferable license to use it on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that it may also be accessed by other accounts associated with you via Family Sharing or volume purchasing.
Maintenance and Support. Quantarra Strategies LLC is solely responsible for any maintenance and support services for the Licensed Application, as required under applicable law. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.
Warranty. Quantarra Strategies LLC is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be the sole responsibility of Quantarra Strategies LLC.
Product Claims. Quantarra Strategies LLC, not Apple, is responsible for addressing any claims relating to the Licensed Application or your possession and/or use of it, including but not limited to: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation. This Agreement does not limit Quantarra Strategies LLC's liability to you beyond what is permitted by applicable law.
Intellectual Property Rights. In the event of any third-party claim that the Licensed Application or your possession and use of it infringes that third party's intellectual property rights, Quantarra Strategies LLC, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
Legal Compliance. You represent and warrant that (i) you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist-supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
Contact Information. This Licensed Application is provided by Quantarra Strategies LLC, a Wyoming limited liability company. Direct any questions, complaints, or claims regarding the Licensed Application to privacy@quantarrastrategies.com.
Third-Party Terms. You must comply with applicable third-party terms of agreement when using the Licensed Application (for example, your wireless data service agreement).
Third-Party Beneficiary. You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this Agreement, and that, upon your acceptance of these Terms, Apple will have the right (and is deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary.
Changes to These Terms
We may update these terms as our services evolve. Material changes will be communicated through the app or via email. Non-material updates, such as clarifications or corrections, may be made at any time and will be reflected by updating the date at the top of this page. Continued use of SmartText after changes constitutes acceptance of the updated terms.
